Terms of Service

Effective Date: October 16, 2026

Last Updated: October 2, 2026

1. Agreement to These Terms

These Terms of Service (the “Terms”) govern your access to and use of the website located at redbirdmmj.com and any other domain names we operate that display the same content (the “Site”), operated by Redbird Bioscience. Redbird Bioscience is a trade name of Mariteq Processors LLC, a licensed medical marijuana processor, which works alongside Mariteq Growers LLC (“Redbird Growers”), a licensed medical marijuana grower, which may distribute to Mariteq Dispensaries LLC or other licensed and regulated entities. These companies are licensed by the Oklahoma Medical Marijuana Authority (the “OMMA”). New Redbird Business Group LLC is a holding company that owns or controls Redbird Realty LLC, owning real estate assets leased to Mariteq Growers LLC and Mariteq Processors LLC. In these Terms, “Redbird,” “we,” “us,” and “our” refer to affiliated entities - a group of separate entities which perform separate functions according to the regulatory parameters for each entity.

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy (available at https://redbirdmmj.com/privacy-policy) and Cookie Policy (available at https://redbirdmmj.com/cookie-policy), which are incorporated by reference. If you do not agree to these Terms, do not access or use the Site.

2. Eligibility

You must be at least 21 years of age to access or use the Site. The Site requires you to confirm your age before entry. By using the Site, you represent and warrant that you are 21 or older.

Medical marijuana is lawful in Oklahoma only for individuals holding a valid patient or caregiver license issued by the OMMA, and only when obtained from a licensed dispensary. Marijuana remains regulated under federal law. Nothing on the Site should be understood as encouraging any activity that is unlawful where you are located.

3. What the Site Is, and What It Is Not

Redbird Growers and Redbird Bioscience are licensed medical marijuana growers and processors in the State of Oklahoma. The Site is an informational resource about our operation, our facility, our genetics, and our products.

The Site is not a dispensary and is not a point of sale. Specifically:

  • We do not sell, deliver, ship, or dispense any product through the Site;

  • We do not accept orders or payments through the Site;

  • Products described on the Site are available only through licensed Oklahoma dispensaries, and only to individuals holding a valid OMMA patient or caregiver license;

  • We do not guarantee that any particular product or genetic is available at any particular dispensary at any particular time. Availability, pricing, and selection are determined by the dispensary.

4. No Medical Advice

Content on the Site is provided for general informational purposes only. It is not medical advice, and it is not a substitute for consultation with a licensed physician or other qualified healthcare provider.

Using the Site does not create a physician-patient relationship, a treatment relationship, or any similar relationship between you and Redbird. Statements on the Site have not been evaluated by the U.S. Food and Drug Administration. No product described on the Site is intended to diagnose, treat, cure, or prevent any disease.

Always seek the advice of a licensed physician regarding any medical condition or treatment decision. Never disregard professional medical advice or delay seeking it because of something you read on the Site. If you believe you are experiencing a medical emergency, call emergency services immediately.

5. Statements About Licensing and Regulatory Status

Statements on the Site regarding our licenses, registrations, certifications, and regulatory standing describe our status as of the date those statements are published, and are subject to change.

Where the Site states “DEA registration submitted,” that statement refers to the submission of an application and does not represent that any registration has been granted. Where the Site states “CGMP + GACP certification pathway underway,” that statement refers to work in progress toward those standards and does not represent that any certification has been issued or conferred.

We undertake no obligation to update regulatory statements except as required by law. Nothing on the Site should be relied upon as evidence of a completed registration, certification, approval, or accreditation.

6. Business and Partnership Information; No Offer of Securities

The Site may contain information about our operation, capacity, facilities, and business relationships, including material directed to prospective partners, distributors, and other business counterparties.

That information is provided for general informational purposes only. It is not an offer to sell, or a solicitation of an offer to buy, any security, and it is not investment advice. Any offer of securities, if made, would be made only through separate documentation and in accordance with applicable securities laws.

Statements on the Site about future events, including expected capacity, production volumes, certification timelines, market entry, or export activity, are forward-looking. Forward-looking statements involve known and unknown risks and are subject to change, including as a result of regulatory action, market conditions, and operational factors. Actual results may differ materially.

7. Intellectual Property

The Site and its contents, including text, graphics, photographs, video, logos, trademarks, product names, page layouts, and the selection and arrangement of content, are owned by Redbird or its licensors and are protected by United States and international intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your own personal, non-commercial use. This license does not permit you to:

  • Copy, reproduce, republish, distribute, or publicly display Site content, except as permitted by applicable law;

  • Modify, adapt, or create derivative works from Site content;

  • Use our trademarks, logos, or brand elements without our prior written permission;

  • Use any automated means to scrape, index, or harvest Site content;

  • Remove or alter any copyright, trademark, or other proprietary notice.

All rights not expressly granted are reserved.

8. Acceptable Use

You agree not to:

  • Use the Site for any unlawful purpose, or in violation of any applicable federal, state, or local law or regulation;

  • Attempt to gain unauthorized access to the Site, its servers, or any connected system or network;

  • Interfere with or disrupt the Site, including by introducing malware, launching denial-of-service attacks, or placing unreasonable load on our infrastructure;

  • Submit false, misleading, or fraudulent information through any form on the Site, or impersonate any person or entity;

  • Use the Site to transmit unsolicited commercial messages, or to collect information about other users;

  • Use the Site in any manner that could damage, disable, or impair it, or interfere with any other party’s use of it.

We may suspend or terminate your access to the Site at any time, without notice, for conduct we believe violates these Terms or is otherwise harmful.

9. Submissions and Feedback

If you submit a message, question, comment, suggestion, or other material to us through the Site, you represent that you have the right to do so and that the material is not confidential, defamatory, or infringing.

You grant us a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, and act on submitted material for the purpose of responding to you and operating and improving our business. Personal information you submit is also handled under our Privacy Policy, including the rights described there. We are under no obligation to keep submissions confidential, to compensate you for them, or to respond to them.

Please do not send us confidential, proprietary, medical, or patient license information through the Site.

10. Third-Party Links and Services

The Site contains links to third-party websites and services, including dispensary locator and retail menu platforms such as Leafly, Weedmaps, and Dutchie. We provide these links for convenience only.

We do not control, endorse, or assume responsibility for the content, products, availability, accuracy, or practices of any third-party site or service. Your use of any third-party site is at your own risk and is governed by that site’s own terms and privacy policy.

11. Disclaimer of Warranties

THE SITE AND ALL CONTENT ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, REDBIRD DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR CURRENCY OF ANY CONTENT ON THE SITE.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, REDBIRD AND ITS OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Redbird and its officers, members, managers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

14. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of Oklahoma, without regard to its conflict of laws principles.

You agree that any action or proceeding will be brought exclusively in the state or federal courts located in Tulsa County, Oklahoma, and you consent to the personal jurisdiction of those courts.

15. Dispute Resolution

a. Informal Resolution.
Before initiating mediation or any formal proceeding, the party asserting a claim shall first send a written notice describing the dispute in reasonable detail to the other party (for us, to Redbird Bioscience, ATTN: “Legal”, 471833 Hwy 51, Stilwell, OK 74960, or the address listed in these Terms). The parties shall attempt in good faith to resolve the dispute informally for at least thirty (30) days after receipt of that notice.

b. Mandatory Mediation.
If the dispute is not resolved informally, neither party may file a lawsuit (except as provided in Section 15(d) below) until the parties have first participated in a mediation conducted in good faith.

Either party may commence mediation by written notice to the other party.

The mediation shall be administered by JAMS (or, if JAMS is unavailable, by the American Arbitration Association) under its then-current mediation rules, unless the parties agree in writing to a different mediator or process.

The mediation may be conducted by videoconference unless both parties agree otherwise. If an in-person session is required, it shall take place in Tulsa, Oklahoma, or another mutually agreed location.

Each party shall bear its own attorneys’ fees and costs of mediation; the mediator’s fees and administrative costs shall be split equally unless the mediator or applicable rules provide otherwise, or the parties agree in writing to a different allocation.

The mediation shall be confidential. Statements made and documents prepared solely for the mediation may not be used in any later proceeding except as permitted by applicable law or the mediator’s rules.

The parties shall complete the mediation within sixty (60) days after the mediator is appointed, unless they agree in writing to extend that period.

c. Filing Suit After Mediation.
If the dispute remains unresolved after the mediation session (or if a party fails to participate in good faith after proper notice), either party may then commence litigation in a court of competent jurisdiction, subject to the governing-law and venue provisions of these Terms.

d. Exceptions.
The mediation requirement does not apply to:
(i) claims for temporary, preliminary, or permanent injunctive or other equitable relief to prevent actual or threatened infringement, misappropriation, or violation of intellectual-property or confidentiality rights, or to preserve the status quo;
(ii) individual actions that may be brought in small-claims court; or
(iii) any claim that applicable law prohibits from being made subject to a pre-suit mediation requirement.

e. Tolling.
All applicable statutes of limitation and repose are tolled during the informal-resolution and mediation periods described above.

16. Changes to the Site and to These Terms

We may modify, suspend, or discontinue any part of the Site at any time, without notice or liability.

We may also revise these Terms from time to time. When we do, we will post the revised Terms on the Site and update the “Last Updated” date above. Changes take effect when posted. Your continued use of the Site after that date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.

17. General Provisions

  • Severability. If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

  • Entire agreement. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Redbird regarding the Site, and supersede any prior understandings on that subject.

  • Survival. Provisions that by their nature should survive termination of your access to the Site, including Sections 7, 9, and 11 through 15, will survive.

  • Headings. Section headings are for convenience only and do not affect interpretation.

(i) claims for temporary, preliminary, or permanent injunctive or other equitable relief to prevent actual or threatened infringement, misappropriation, or violation of intellectual-property or confidentiality rights, or to preserve the status quo;
